Terms of Service

These Terms of Service ("Terms") govern your use of the Stocklane platform. By creating an account, you agree to these Terms on behalf of your organisation.

1. Definitions

"Platform" means the Stocklane software-as-a-service offering. "Seller" means a wholesaler that publishes a Portal. "Buyer" means a B2B buyer that places an Order via a Portal. "Portal" means an online, temporary workbook generated by the Platform.

2. Service description

Stocklane provides a multilingual B2B ordering platform for European deadstock and overstock. The Platform includes AI-assisted parsing of Seller stock lists, portal generation, stock reservation logic, order collection, and ERP exports.

3. Account & eligibility

Sellers must be legally-registered businesses. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Subscription plans and fees

Stocklane offers a Free plan and a Premium plan. Feature availability and limits per plan are described in the account settings. When online payments are enabled on a Portal, Stocklane charges a 1.5% platform fee on the total order amount in addition to standard Stripe processing fees.

5. Seller obligations

The Seller warrants that (i) it has the legal right to sell the products listed in each Portal, (ii) product descriptions and pricing are accurate, and (iii) it will fulfil orders promptly on the terms stated in the Portal.

6. Buyer orders

Orders placed through a Portal form a direct commercial contract between the Buyer and the Seller. Stocklane is not a party to that contract, and does not act as reseller or agent unless expressly stated otherwise.

7. Acceptable use

You may not use the Platform to distribute illegal, counterfeit, dangerous, or infringing goods, or to send unsolicited bulk email. We may suspend accounts that violate these rules.

8. Intellectual property

Stocklane and its licensors retain all rights in the Platform. You retain all rights in your uploaded data. You grant Stocklane a limited licence to process, display and transmit that data solely to provide the service.

9. Availability

We target 99.5% monthly uptime. Scheduled maintenance is announced at least 48 hours in advance. Stocklane provides the Platform on an "as is" basis without warranties beyond those required by mandatory Dutch consumer law.

10. Liability

To the maximum extent permitted by law, Stocklane's aggregate liability under these Terms is limited to the fees paid by the Seller to Stocklane in the twelve months preceding the event giving rise to liability. Neither party is liable for indirect or consequential damages.

11. Termination

Either party may terminate for material breach not cured within 30 days. Upon termination, the Seller may export outstanding order data for 30 days, after which personal data is deleted or anonymised in line with the Privacy Policy.

12. Governing law

These Terms are governed by the laws of The Netherlands. Disputes are subject to the exclusive jurisdiction of the courts of Amsterdam, without prejudice to mandatory consumer-law fora.
